Proposed Amendments to Gotham’s Bylaws

The Gotham Board of Directors has recommended that the membership approve three amendments to the Bylaws during the Spring 2019 elections.  Here are the details for each:

Clarifying Leadership Group Removal

This amendment clarifies the process to remove members of Gotham Volleyball Leadership Groups.  While several Bylaw provisions imply that Leadership Groups can be removed through a process similar to other leadership positions, due to a drafting error there is no provision of the Bylaws that clearly says so.  This proposed amendment will clarify the process and confirm important rights for Leadership Group members facing removal.

Technical Details — This amendment will create a new Section 9 of Article IV of the Bylaws.  The new section will read as follows:

Removal of Leadership Group Members  — Any member of a Leadership Group may be removed in any the following ways:

(a) for cause by a two-third (2/3) vote of members of the Leadership Group present at a meeting of the Leadership Group at which there is a quorum, provided the member of the Leadership Group has notice of the action and an opportunity to be heard and subject to appeal and reversal by a majority vote a quorum of the Board of Directors,

(b) with cause by a (2/3) vote of the Board of Directors at any regular or special meeting, provided the member of the Leadership Group has notice of the intended action and an opportunity to be heard, or

(c) without cause, by a 60% vote of the Members of Gotham scheduled by the Board or pursuant to the Recall provision of these Bylaws.

Amendment Creating a Vice President of Tournaments & Open Play

Currently, there are 3 Vice Presidents on the Board assigned to oversee 4 Leadership Groups (the committees that run most of our programming).  Two of these groups, Activities and Outreach (which does social/community/non-volleyball events) and Tournaments and Open Play (which runs all tournaments and Open Plays) both fall under one Vice President.  The original belief when the bylaws were drafted was that only one Vice President was needed to oversee all of these programs, but experience has shown otherwise.  The Chair of the Tournaments and Open Play Leadership Group is asked to take on as much responsibility as the other Vice Presidents and acts, for all intents and purposes as a full Vice President.   This bylaws amendment therefore aligns our governance structure with how we actually operate by creating a Vice President to exclusively oversee the Tournaments and Open Play Leadership Group.

Technical Details — This amendment alters, deletes and creates multiple bylaw provisions.  The changes are set out below, with insertions in bold and deletions in strkethrough:

Revise Article III, Section 6 as follows:

The Vice President for Activities and Outreach shall be responsible for general oversight of Gotham’s programming that does not fall within the Division Play, Tournaments and Open Play, and Training groups. She or he is charged with ensuring that Gotham provides a variety of community programming consistent with its mission. She or he shall serve on both the Tournaments and Open Play Leadership Group and and chair the Activities and Outreach Leadership Group, only voting to the extent she or he chairs the Leadership GroupShe or he shall chair only one of those two Leadership Groups a Board Director-At-Large or a member of the relevant Leadership Group to chair the other, subject to the approval of the Board.  She or he shall coordinate and ensure necessary communication between the Board and the Activities and Outreach Leadership Group and the Tournaments and Open Play Leadership Group, and advocate for those Leadership Groups’ needs the Activities and Outreach Group’s needs on the Board. She or he shall also fulfill such powers and duties as may be assigned to by the Board or by the President as authorized by these Bylaws.  

Add Article III, Section 7 as follows:

The Vice President for Tournaments and Open Play shall be responsible for general oversight of Gotham’s volleyball activities that do not fall within the Division Play or Training groups, and shall serve on, and chair, the Tournaments and Open Play Leadership Group. She or he shall coordinate and ensure necessary communication between the Board and the Tournaments and Open Play Leadership Group, and advocate for the Tournaments and Open Play Leadership Group’s needs on the Board. The Vice President for Tournaments and Open Play shall also fulfill such powers and duties as may be assigned to by the Board or by the President as authorized by these Bylaws.  

Renumber all subsequent Article III sections accordingly.

Revise Article III Section 14 (currently 13):

  Section 13. 14. Appointment and Term of Office of Vice Presidents. The Vice President for Division Play, Vice President for Training, Vice President for Activities and Outreach, and Vice President for Tournaments and Open Play shall be nominated by the Elections and Nominations Committee of the Board of Directors and confirmed by a majority vote of the Board of Directors at the organizational meeting of the Board of Directors in June.   

Revise Article III, Section 14 (currently 13) (B)(3):

Vice President for Activities and Outreach and Vice President for Tournaments and Open Play – the candidate must have served on the any Leadership Group and/or the Board of Directors within the previous three (3) years  

Revise Article IV, Section 4(A) as follows:

 The Tournaments and Open Play Leadership Group shall consist of the Vice President of Tournaments and Open Play Activities and Outreach (or her/his designee) and at least 4 and not more than 12 appointed Gotham Members-At-Large. Any Tournament Director who is not already a member of the Tournaments and Open Play Leadership Group shall be a non-voting, ex officio member of the Leadership Group.  

 Revise Article IV, Section 5(A) as follows:

 The Activities and Outreach Leadership Group shall consist of the Vice President of Activities and Outreach (or her/his designee) and at least 4 and not more than 12 appointed Gotham Members-At-Large.   

Changing Director Election Threshold

Currently, the Bylaws require that Director candidates receive 45% of the vote in order to be elected.  This has triggered runoffs in two of the three directors elections we have run prior to the current election (every election that has had more than two candidates).   If the threshold is reduced to 40%, less runoffs would be necessary and the Bylaws would still contain an important safeguard to ensure that only candidates with wide support are elected Director.

Technical Details — This amendment will change the last sentence of Article III, Section 14(B) of the Bylaws to read as follows:

A candidate must receive at least 45 40% of the vote in order to be elected as a Director-At-Large.
